Web Contract Agreement
This agreement is entered into between HEROweb (the Developer), a Website Development Company based in Eugene, OR, and the Contractor(name filled in at the bottom of this form), a contract web developer.
Services: The Contractor will complete projects, each of which focuses on assembling a commercial website, using the MightyMerchant Ecommerce Platform and related tools and technology.
Payment: The Developer will provide a price basis/contract amount for each project. Additional work, outside of the scope of the project will be billed at an hourly rate, to be determined.
The Contractor will submit an invoice via email at the completion of each project. The Developer will pay within a maximum 30 days.
Independent Contractor Status
The Contractor is a completely independent business from the Developer. Nothing in this agreement indicates an employer/employee relationship between the Developer and Contractor. The Contractor shall not be entitled to worker's compensation, retirement, insurance or other benefits afforded to employees of Developer.
Confidential Information
The Contractor, through the normal course of working on projects, will be privy to confidential information for customers of the Developer. All such information will be held in confidence and not shared with other parties or associates.
Intellectual Property
The Contractor will be privy to intellectual property of the developer, including software code and proprietary development technologies. All such intellectual property will remain in strict ownership of the Developer. The Contractor cannot at any time in the future share this intellectual property with other parties or use this intellectual property for financial benefit.
Future Advertisement of Work
The Contractor agrees not to advertise in a public space the specific projects completed for the Developer as their own projects.
Term of Agreement
This agreement will commence on July 1, 2019. Either party can terminate the agreement at any time with 24 hours written notice. Once the agreement is terminated, the adherence to clauses related to Confidential Information and Intellectual Property will remain in effect.
